                               A Bill for


An Act to provide for the disposal of the whole or part of any
business carried on by, or all or any of the assets or liabilities owned
by or managed on behalf of the State by, the Perth Market
Authority, and for related purposes.



The Parliament of Western Australia enacts as follows:

1                      Part 1 -- Preliminary matters
2    1.         Short title
3               This is the Perth Market (Disposal) Act 2015.

4    2.         Commencement
5         (1)   This Act (other than Part 6 Division 2 and Part 7) comes into
6               operation on the day after the day on which it receives the Royal
7               Assent.
8         (2)   Part 6 Division 2 and Part 7 come into operation on the day on
9               which the Perth Market Act 1926 is repealed under section 42.

10   3.         Terms used
11              In this Act, unless the contrary intention appears --
12              asset means property of any kind whether tangible, intangible,
13              real or personal and includes (without limitation) --
14                (a) any chose in action, goodwill, right, interest or claim of
15                      any kind, whether arising from, accruing under, created
16                      or evidenced by or the subject of an instrument or
17                      otherwise and whether liquidated or unliquidated or
18                      actual, contingent or prospective; and
19                (b) a contractual right that is to be regarded as arising
20                      because of section 24(2);
21              Authority means the Perth Market Authority under the Perth
22              Market Act 1926;
23              central trading lot means the land that, immediately before the
24              commencement of this section, was the part of Lot 1002 on
25              Deposited Plan 16227, Certificate of Title Volume 2129
26              Folio 88 that is shown hatched on the plan in Schedule 1
27              Division 1;
28              company means a company registered under the Corporations
29              Act 2001 (Commonwealth);

1    corporate vehicle means --
2      (a) a company created in accordance with section 10(4)
3             each security in which is held by a person specified in
4             section 10(6); or
5      (b) a subsidiary under the Corporations Act 2001
6             (Commonwealth) of a company referred to in
7             paragraph (a);
8    dispose of, in relation to a market asset, includes --
9      (a) to sell or lease the market asset; and
10     (b) to create and assign an interest in the market asset;
11   liability --
12     (a) means any liability, duty or obligation --
13              (i) whether liquidated or unliquidated or actual,
14                    contingent or prospective; and
15             (ii) whether owed alone or jointly or jointly and
16                    severally with any other person;
17            and
18     (b) includes a contractual liability that is to be regarded as
19            arising because of section 24(2);
20   market asset means --
21     (a) the whole or any part of a business carried on by, or any
22            asset or liability owned by or managed on behalf of the
23            State by, the Authority; or
24     (b) the whole or any part of a business carried on by, or any
25            asset or liability owned by or managed on behalf of the
26            Authority, a corporate vehicle or the State by, a
27            corporate vehicle; or
28     (c) the securities in a corporate vehicle;
29   produce means any of the following --
30     (a) fruit and vegetables;
31     (b) cut flowers;

1               (c)   fish, crustaceans and marine animals (including if
2                     frozen);
3             public market means a place at which persons meet for the
4             purposes of selling or purchasing produce by wholesale, but
5             does not include --
6               (a) a place at which the sale of produce occurs if the place is
7                     the premises of the seller; or
8               (b) a place at which the purchase of produce occurs if the
9                     place is the premises of the purchaser;
10            purposes, of a section 9 disposal, has the meaning given in
11            section 4;
12            right means any right, power, privilege or immunity whether
13            actual, contingent or prospective but, in relation to a transfer
14            order, does not include any privilege or immunity enjoyed as an
15            agent of the Crown except in so far as it relates to anything done
16            or omitted to be done before the transfer time;
17            section 9 disposal means a disposal for which an order is in
18            force under section 9;
19            transferee, in relation to a transfer order, has the meaning given
20            in section 21(2)(b);
21            transferor, in relation to a transfer order, has the meaning given
22            in section 21(2)(b);
23            transfer order means a transfer order made under section 21 as
24            amended under that section or corrected under section 27;
25            transfer time, in relation to a transfer order, means the time
26            specified under section 21(2)(a) in the transfer order.

27   4.       Purposes of section 9 disposal
28            The purposes of a section 9 disposal include the following --
29             (a) the purpose of effecting or facilitating the section 9
30                   disposal;
31             (b) any purpose ancillary or incidental to, or consequential
32                   on, the section 9 disposal.

1    5.   Things on land
2         A reference in this Act to a thing that is on land is to be taken to
3         be a reference to a thing that is on, in, over or under the land.

4    6.   Assignable nature of things on land
5         For the purposes of this Act, a thing that is on land and is
6         capable of being disposed of --
7           (a) is not part of the land, regardless of whether it is in the
8                 nature of a fixture; and
9           (b) is capable of being assigned separately from the land;
10                and
11          (c) is capable of being removed from the land by, or with
12                the authority of, the owner of the land.

13   7.   Act binds Crown
14        This Act binds the State and, so far as the legislative power of
15        the State permits, the Crown in all its other capacities.

1                         Part 2 -- Enabling disposal
2    8.          Disposal of market assets authorised
3          (1)   A market asset owned or managed by the Authority may be
4                disposed of, whether by the Authority or the State, if the
5                disposal is authorised by an order made under section 9.
6          (2)   A market asset owned or managed by a corporate vehicle may
7                be disposed of, whether by the corporate vehicle or the State, if
8                the disposal is authorised by an order made under section 9.

9    9.          Minister may order disposal of market assets
10         (1)   The Minister may, by order published in the Gazette --
11                (a) direct the disposal of all or specified market assets; or
12                (b) vary or revoke an order made under paragraph (a), or
13                     under this paragraph, at any time before effect is given
14                     to the order.
15         (2)   An order made under subsection (1) may be in general terms
16               and need not include any details about how the disposal is to be
17               effected.
18         (3)   The Minister cannot make an order under subsection (1) without
19               the Treasurer's approval.
20         (4)   An order made under subsection (1) takes effect --
21                (a) on the day after the day on which the order is published
22                      in the Gazette; or
23                (b) if a later day is specified in the order -- on that day.

24   10.         Effecting disposal
25         (1)   Subject to section 11, there are no limitations on the nature of
26               any transaction or arrangement that can be entered into for the
27               purposes of a section 9 disposal.
28         (2)   An express provision of this Act authorising the establishment
29               of a particular kind of legal entity for the purposes of a section 9

1                disposal does not limit the kinds of legal entity that can be used
2                for those purposes.
3          (3)   One or more corporate vehicles or one or more trusts can be
4                used for the purposes of a section 9 disposal.
5          (4)   If a company is to be used for the purposes of a section 9
6                disposal by the State, the Under Treasurer must ensure that the
7                necessary steps are taken on behalf of the State to create the
8                company.
9          (5)   Any of the persons specified in subsection (6) can --
10                (a) receive on behalf of the State an allotment and issue of,
11                      or otherwise acquire on behalf of the State, securities in
12                      the company; and
13                (b) hold, and dispose of, on behalf of the State any
14                      securities so acquired by the person in the company.
15         (6)   For subsection (5), the following persons are specified --
16                (a) the Minister;
17                (b) the Treasurer;
18                (c) the Authority.
19         (7)   The Minister may enter into on behalf of the State any
20               agreement for the purposes of a section 9 disposal.

21   11.         Disposal of land
22               The following land can be disposed of under this Act --
23                (a) Crown land;
24                (b) freehold land owned by the Authority, a corporate
25                       vehicle or the State.

26   12.         Land subject to unregistered leases with terms exceeding
27               5 years
28               Despite the Transfer of Land Act 1893 section 68(1A), land
29               disposed of under this Act is subject to any prior unregistered

1                lease or agreement for lease or for letting for a term exceeding
2                5 years to a tenant in actual possession even though the lease or
3                agreement may not be specially notified as an encumbrance on
4                the certificate of title or registered instrument for the land.

5    13.         Approval of Planning Commission not required for leases
6                with terms exceeding 20 years
7          (1)   This section applies in relation to land that, immediately before
8                its disposal under this Act, was subject to a lease referred to in
9                the Planning and Development Act 2005 section 136(1)(a)
10               or (b).
11         (2)   The Planning and Development Act 2005 section 136 does not
12               apply, and is to be taken to have not applied, at any time while
13               the land is or was subject to the lease or any renewal or
14               extension of the lease.

15   14.         Development and building work
16         (1)   In this section --
17               approval includes --
18                 (a) a permit, consent, notice, permission, or other
19                        authorisation;
20                 (b) an approval certificate or other certificate;
21                 (c) an exemption or waiver;
22               building work means --
23                 (a) building work as defined in the Building Act 2011
24                        section 3; or
25                 (b) demolition work as defined in the Building Act 2011
26                        section 3; or
27                 (c) plumbing work as defined in the Plumbers Licensing
28                        Act 1995 section 59I; or
29                 (d) any other work of a similar or related nature;

1          development has the meaning given in the Planning and
2          Development Act 2005 and includes any other development or
3          use of a similar or related nature;
4          issue includes give or grant;
5          Perth market site means the land consisting of all of the
6          following --
7            (a) the land described as Lot 1002 on Deposited Plan
8                  16227, Certificate of Title Volume 2129 Folio 88;
9            (b) the land described as Lot 1004 on Deposited Plan
10                 16227, Certificate of Title Volume 1832 Folio 28;
11         premises means --
12           (a) a building or other structure, situated on the Perth
13                 market site, or part of the building or other structure; or
14           (b) the Perth market site or part of the site.
15   (2)   Subsection (3) applies if --
16          (a) at any time before this subsection comes into operation,
17                development or building work was carried out on the
18                Perth market site; and
19          (b) under the law in force at the relevant time, an approval
20                was required to be issued for the carrying out of the
21                development or building work; and
22          (c) the approval was not issued.
23   (3)   The approval is to be taken to have been issued.
24   (4)   Subsection (5) applies if --
25          (a) at any time before this section comes into operation, the
26                premises were used or occupied; and
27          (b) under the law in force at the relevant time, an approval
28                was required to be issued for the use or occupation of
29                the premises; and
30          (c) the approval was not issued.
31   (5)   The approval is to be taken to have been issued.

1          (6)   If the use or occupation of the premises continues after
2                subsection (5) comes into operation, the continued use or
3                occupation of the premises is to be taken to be with the
4                approval.

5    15.         Use as public market
6          (1)   In this section --
7                central trading area means the part of the central trading lot
8                that, immediately before the commencement of this section, was
9                occupied by the building being used for the purposes of the sale
10               or display of produce and is shown (for information only)
11               hatched on the plan in Schedule 1 Division 2.
12         (2)   The central trading lot can only be disposed of under this Act on
13               condition that, for 20 years after the disposal, a part of the
14               central trading lot is used as a public market in accordance with
15               subsections (3) to (5).
16         (3)   For subsection (2), the part of the central trading lot that must be
17               used as a public market can be --
18                 (a) the central trading area; or
19                 (b) another part of the central trading lot in respect of which
20                       an approval is in force under subsection (4).
21         (4)   The Minister may, by order published in the Gazette --
22                (a) approve a part of the central trading lot for use as a
23                     public market; or
24                (b) vary or revoke an approval given under paragraph (a).
25         (5)   An order made under subsection (4) takes effect --
26                (a) on the day after the day on which the order is published
27                      in the Gazette; or
28                (b) if a later day is specified in the order -- on that day.

1    16.         Development condition relating to warehousing
2          (1)   In this section --
3                CTL development application means a development
4                application, as defined in the Planning and Development
5                Act 2005 section 4(1), for the development of the central trading
6                lot that is made at any time within 20 years after the disposal
7                under this Act of the central trading lot.
8          (2)   The conditions on which any CTL development application is
9                approved must include both of these conditions --
10                 (a) that one or more parts of the central trading lot (the area
11                      or total area of which part or parts must be at least
12                      46 500 m2) are used or are available to be used for the
13                      purposes of warehousing to support the public market
14                      referred to in section 15(2); and
15                 (b) that one or more parts of the central trading lot (the area
16                      or total area of which part or parts must be at least
17                      24 000 m2) are set aside for use at some time in the
18                      future for the purposes of warehousing to support the
19                      public market referred to in section 15(2).
20         (3)   Subsection (2) applies despite the Planning and Development
21               Act 2005 or any planning scheme or interim development order
22               under that Act.
23         (4)   Despite the Planning and Development Act 2005, any planning
24               scheme as defined in section 236(1) of that Act or any other
25               written law, the imposition of a condition under subsection (2)
26               is not reviewable by the State Administrative Tribunal.

27   17.         Functions and powers of Minister
28               The Minister has all of the functions and powers that are
29               necessary or convenient for the purposes of this Act, including
30               the power to acquire land.

1    18.         Functions and powers of Authority
2                The Authority has all of the functions and powers that are
3                necessary or convenient for the purposes of the disposal of a
4                market asset under this Act.

5    19.         Functions and powers of corporate vehicles
6                A corporate vehicle has all of the functions and powers that are
7                necessary or convenient for the purposes of the disposal of a
8                market asset under this Act, including --
9                  (a) the power to acquire land; and
10                 (b) if the corporate vehicle is a company referred to in
11                      paragraph (a) of the definition of corporate vehicle in
12                      section 3 -- the power to create subsidiaries of the
13                      company.

14   20.         Directions by Minister
15         (1)   The Minister may, for the purposes of a section 9 disposal, give
16               a written direction to the Authority or a corporate vehicle.
17         (2)   The Authority or a corporate vehicle must comply with a
18               direction given to it under subsection (1).
19         (3)   The Authority or a corporate vehicle, or a member, director or
20               officer of the Authority or a corporate vehicle, is not liable for
21               anything done or omitted to be done in good faith in compliance
22               with, or purported compliance with, a direction given under
23               subsection (1).
24         (4)   This section is declared to be a Corporations legislation
25               displacement provision for the purposes of the Corporations
26               Act 2001 (Commonwealth) section 5G in relation to the
27               Corporations legislation generally.

3    21.         Minister may make transfer orders
4          (1)   In this section --
5                private entity means a person other than any of the following --
6                  (a) the Authority;
7                  (b) a statutory corporation;
8                  (c) a corporate vehicle;
9                  (d) the State;
10               statutory corporation means --
11                 (a) a Minister or chief executive officer who is constituted,
12                        or continued in existence, as a body corporate under an
13                        Act; or
14                 (b) any other body corporate that is constituted, or
15                        continued in existence, under an Act.
16         (2)   For the purposes of a section 9 disposal, the Minister may, by
17               order published in the Gazette (a transfer order), specify all or
18               any of the following --
19                 (a) a time (which must be after the day on which the order
20                       is published in the Gazette) that is the transfer time
21                       under the transfer order;
22                 (b) any asset or liability that, by operation of section 22, is
23                       to be transferred from the Authority, a corporate vehicle
24                       or the State as specified in the order (the transferor) to a
25                       corporate vehicle or a private entity as specified in the
26                       order (the transferee);
27                 (c) proceedings in which, by operation of section 22, the
28                       transferee is to be substituted for the transferor as a
29                       party;

1               (d)   any agreement or instrument relating to anything
2                     transferred that, by operation of section 22, is to have
3                     effect as if, unless otherwise expressly specified in the
4                     order, references to the transferee were substituted for
5                     references to the transferor in the agreement or
6                     instrument.
7       (3)    If the transfer time is specified by reference to when a thing is
8              done, the Minister must ensure that notice of the time when the
9              thing is done is published in the Gazette.
10      (4)    A transfer order may specify persons or things by reference to
11             schedules that --
12               (a) need not be published in the Gazette; but
13               (b) must be available for public inspection on business days
14                    at the place and between the times specified in the
15                    transfer order for 6 months after the day on which the
16                    transfer order is published in the Gazette.
17      (5)    For subsection (4)(b), a business day is a day other than a
18             Saturday, Sunday or public holiday.
19      (6)    A person or thing specified in a schedule for a transfer order is
20             to be taken to be specified in the transfer order.
21      (7)    A person or thing may be specified in a transfer order by
22             describing the person or thing as a member of a class.
23      (8)    Before a transfer order is made specifying anything by reference
24             to a schedule, the Minister must consult each relevant official to
25             whom a copy of the schedule must be given under section 26(2)
26             about the form and content of the schedule for the purpose of
27             facilitating the recording and registration of instruments or
28             documents as required by section 26(3)(b).
29      (9)    The Minister may, by order published in the Gazette, amend a
30             transfer order or a schedule for a transfer order, but only --
31               (a) before the transfer time; and
32               (b) with the consent of the transferee.

1    22.         Consequences of transfer orders
2          (1)   In this section --
3                specified means specified in the transfer order.
4          (2)   A transfer order has effect at the transfer time as follows --
5                 (a) a specified asset is, by operation of this section and
6                       without the need for any conveyance, transfer,
7                       assignment or assurance or any prior notice or further
8                       act, transferred to the transferee and becomes an asset of
9                       the transferee;
10                (b) a specified liability is, by operation of this section and
11                      without the need for any prior notice or further act,
12                      transferred to and becomes a liability of the transferee;
13                (c) the transferee is, by operation of this section, substituted
14                      for the transferor as a party to any specified
15                      proceedings;
16                (d) a specified agreement or instrument has effect, by
17                      operation of this section, as if (unless otherwise
18                      specified) a reference to the transferee were substituted
19                      for a reference to the transferor in the agreement or
20                      instrument;
21                (e) any proceedings or remedy that might have been
22                      commenced by, or available against or to, the transferor
23                      in relation to an asset or liability transferred by
24                      paragraph (a) or (b) may be commenced by, or are
25                      available against or to, the transferee;
26                 (f) anything relating to an asset or liability transferred by
27                      paragraph (a) or (b) that was done or omitted to be done
28                      by, to or in respect of the transferor before the transfer
29                      and is of any effect is to be taken to have been done or
30                      omitted by, to or in respect of the transferee.

31   23.         Completion of transactions for this Division
32               If a transfer order cannot to any extent have the effect sought to
33               be achieved by this Division (whether because a matter is

1                governed otherwise than by a law of this State or for any other
2                reason), the Minister and the transferor must each take all
3                practicable steps to achieve that effect as soon as possible after
4                the transfer time.

5    24.         Effect of arrangements internal to transferors
6          (1)   An instrument that provides for arrangements between different
7                parts of the transferor's business or undertaking may be
8                specified in a transfer order as if it created contractual rights and
9                liabilities.
10         (2)   An instrument specified as described in subsection (1) is to be
11               regarded as if its provisions were contractual provisions
12               between different legal entities.
13         (3)   A contractual right or liability that is to be regarded as arising
14               because of subsection (2) is transferable under this Division.

15   25.         Delivery and access to records
16         (1)   In this section --
17               record includes a register, minute, receipt, book of account or
18               other document (however compiled, recorded or stored);
19               relevant record, in relation to a transfer order, means a record
20               relating to any asset, liability, agreement, instrument or
21               proceedings specified under section 21(2) in the transfer order.
22         (2)   The Minister may give the transferor under a transfer order a
23               direction (whether in the transfer order or otherwise in writing)
24               as to which relevant records, or classes of relevant records, in
25               the possession or control of the transferor must be delivered to
26               or shared with, or be able to be accessed by, the transferee under
27               the transfer order.
28         (3)   The transferor must deliver to or share with the transferee, or
29               enable the transferee to have access to, relevant records in
30               accordance with the direction.

1          (4)   The transferor and transferee must make arrangements for the
2                delivery or sharing of, or access to, relevant records in
3                accordance with the direction.
4          (5)   This section is declared to be a Corporations legislation
5                displacement provision for the purposes of the Corporations
6                Act 2001 (Commonwealth) section 5G in relation to the
7                Corporations legislation generally.

8    26.         Registration of documents
9          (1)   In this section --
10               relevant official means any of the following --
11                 (a) the Registrar of Titles under the Transfer of Land
12                        Act 1893;
13                 (b) the Registrar of Deeds and Transfers under the
14                        Registration of Deeds Act 1856;
15                 (c) the Minister administering the Land Administration
16                        Act 1997;
17                 (d) any other person authorised by a written law to record
18                        and give effect to the registration of instruments or
19                        documents relating to transactions affecting any estate
20                        or interest in land or any other property.
21         (2)   The Minister must ensure that a copy of each of the following
22               instruments is given to each relevant official --
23                 (a) a transfer order and any schedule for it;
24                 (b) any order made under section 21(9) amending a transfer
25                      order or any schedule for it;
26                 (c) any order made under section 27(1) correcting a transfer
27                      order or any schedule for it;
28                 (d) any notice published under section 21(3) in respect of
29                      the transfer time in relation to a transfer order.

1          (3)    A relevant official must --
2                  (a) take notice of this Division, a transfer order and any
3                        other instrument relating to a transfer order that is
4                        referred to in subsection (2); and
5                  (b) record and register in the appropriate manner the
6                        instruments or documents necessary to show the effect
7                        of this Division and a transfer order.

8    27.          Correction of errors in transfer orders
9          (1)    The Minister may, by order published in the Gazette, make any
10                provision that is necessary to correct any error in a transfer
11                order or a schedule for a transfer order.
12         (2)    An order made under subsection (1) may be expressed to take
13                effect on and after the transfer time.
14         (3)    To the extent that a provision of an order made under
15                subsection (1) takes effect before the order is published in the
16                Gazette, section 22 does not, as a result of that provision,
17                operate so as --
18                  (a) to affect in a manner prejudicial to any person (other
19                        than the State, the transferor or transferee, or a Minister,
20                        officer or agency of the State) the rights of that person
21                        existing before publication; or
22                  (b) to impose liabilities on any person (other than the State,
23                        the transferor or transferee, or a Minister, officer or
24                        agency of the State) in respect of anything done or
25                        omitted to be done before publication.

26               Division 2 -- Disclosure of confidential information
27   28.          Authorised disclosure of confidential information
28         (1)    In this section --
29                confidential information means confidential information, or
30                information that is not publicly known, concerning the affairs of
31                the Authority or a corporate vehicle.

1          (2)   A disclosure of confidential information that is authorised under
2                this section is not to be regarded as --
3                  (a) a breach of contract or confidence or any other civil
4                        wrong; or
5                  (b) a breach of duty under any of the following --
6                           (i) the Perth Market Act 1926;
7                          (ii) the Western Australian Land Authority Act 1992
8                                 Schedule 1A;
9                         (iii) the Statutory Corporations (Liability of
10                                Directors) Act 1996 section 5;
11                       or
12                 (c) a breach of, or an offence under, a provision of a written
13                       law that prohibits or restricts the disclosure of
14                       information.
15         (3)   For subsection (2), a disclosure of confidential information is
16               authorised if it is made for the purposes of a section 9 disposal
17               by --
18                 (a) the Government, the Authority or a corporate vehicle; or
19                 (b) a person acting with the authority of a body referred to
20                       in paragraph (a).
21         (4)   For subsection (3), a disclosure of confidential information
22               made for the purposes of a section 9 disposal includes a
23               disclosure of confidential information whenever made if the
24               disclosure is or was made for the purposes of a potential
25               section 9 disposal.

26   29.         Offence of disclosing information
27         (1)   Subsection (2) applies to a person (a bound recipient) who --
28                (a) obtains information connected with a section 9 disposal,
29                      whether through a disclosure authorised by section 28 or
30                      otherwise; and

1                 (b)   has agreed or is otherwise under a duty not to disclose
2                       the information to others.
3          (2)   A bound recipient commits an offence if the bound recipient
4                breaches the agreement or duty referred to in subsection (1)(b).
5                Penalty for this subsection: a fine of $200 000.
6          (3)   A person who obtains information connected with a section 9
7                disposal from or through a bound recipient commits an offence
8                if, without lawful excuse, the person discloses the information
9                in a way that would have resulted in a breach of the agreement
10               or duty referred to in subsection (1)(b) if the disclosure had been
11               made by the bound recipient.
12               Penalty for this subsection: a fine of $200 000.
13         (4)   For subsections (1)(a) and (3), information connected with a
14               section 9 disposal includes information whenever obtained if the
15               information is or was connected with a potential section 9
16               disposal.

17                           Division 3 -- Other matters
18   30.         Application of proceeds of disposal
19               The proceeds of a section 9 disposal must be applied by paying
20               them to the Treasurer or as the Treasurer directs otherwise.

21   31.         Provision by State of indemnities and guarantees
22         (1)   The Treasurer may, in the name and on behalf of the State, give
23               an indemnity or guarantee in respect of a matter related to --
24                 (a) a section 9 disposal; or
25                 (b) the assignment (whether under a transfer order or
26                      otherwise) of anything in connection with a section 9
27                      disposal.
28         (2)   The Treasurer may, in the name and on behalf of the State, give
29               to any person who is or has been a member, director or officer
30               of the Authority or a corporate vehicle an indemnity against any

1                liability determined by the Treasurer (including any civil
2                liability under the Corporations Act 2001 (Commonwealth)),
3                whether or not the liability relates to a matter referred to in
4                subsection (1).
5          (3)   Any money payable under an indemnity or guarantee given
6                under this section must be paid by the Treasurer.
7          (4)   Payments made under subsection (3) are charged to the
8                Consolidated Account, which this subsection appropriates
9                accordingly.

10   32.         Takeover by State of certain obligations
11         (1)   This section applies in relation to an obligation (whether
12               contingent or otherwise) of the Authority or a corporate vehicle.
13         (2)   The Treasurer may, in the name and on behalf of the State,
14               agree to take over an obligation in connection with a section 9
15               disposal.
16         (3)   If the performance of the obligation was guaranteed by the
17               State, the agreement may also provide for --
18                  (a) the release by the State of any security held by the State
19                        in connection with the guarantee; or
20                 (b) the release of a person from an undertaking that the
21                        person gave to the State in relation to any security
22                        described in paragraph (a).
23         (4)   The Treasurer may authorise the payment of money to discharge
24               an obligation that the State has taken over under subsection (2),
25               whether by terminating the obligation or otherwise.
26         (5)   Payments authorised under subsection (4) are charged to the
27               Consolidated Account, which this section appropriates
28               accordingly.

2    33.         Application of this Part
3                This Part applies if, for the purposes of a section 9 disposal, a
4                market asset is assigned (whether under a transfer order or
5                otherwise) from the Authority or a corporate vehicle (the
6                assignor) to a corporate vehicle (the assignee).

7    34.         Assignee's powers and duties
8                The assignee has the same powers, duties, rights and obligations
9                in respect of the market asset as the assignor would have had if
10               the assignment had not occurred.

11   35.         Application of written laws to assignee
12         (1)   In this section --
13               applicable written law --
14                 (a) means a written law (other than this Act) that applies to
15                        or in relation to, or refers to, the assignor; and
16                 (b) includes a written law that, by operation of this section,
17                        applies to or in relation to, or refers to, the assignor.
18         (2)   An applicable written law is to be taken (with the changes that
19               are prescribed by the regulations or are otherwise necessary or
20               convenient for the purpose of this Part) to apply to or in relation
21               to, or to refer to, the assignee.
22         (3)   Without limiting subsection (2), the regulations may provide
23               that a reference in an applicable written law to the assignor that
24               relates to the market asset before the assignment occurred is to
25               be taken to include a reference to the assignee.

2    36.         Exemption from State tax
3          (1)   In this section --
4                State tax includes --
5                  (a) duty chargeable under the Duties Act 2008; and
6                  (b) any other tax, duty, fee, levy or charge under a law of
7                         the State.
8          (2)   State tax is not payable in relation to --
9                  (a) anything that occurs by operation of either or both of
10                       Parts 2 and 3; or
11                 (b) anything done (including a transaction entered into or an
12                       instrument or document of any kind made, executed,
13                       lodged or given) under, to give effect to, or for a
14                       purpose connected with or arising out of giving effect to,
15                       either or both of Parts 2 and 3.
16         (3)   The Minister may, at the request of the transferor or transferee
17               under a transfer order, certify in writing that --
18                 (a) a specified thing occurred by operation of either or both
19                      of Parts 2 and 3; or
20                (b) a specified thing was done under, to give effect to, or for
21                      a purpose connected with or arising out of giving effect
22                      to, either or both of Parts 2 and 3.
23         (4)   For all purposes and in all proceedings, a certificate under
24               subsection (3) is sufficient evidence of the matters it certifies
25               unless the contrary is shown.
26         (5)   The exemption under subsection (2) does not apply in relation
27               to a thing that occurs or is done if the Minister directs (whether
28               in a transfer order or otherwise in writing) that it does not apply
29               in relation to the thing.

1    37.         Restriction on other public markets
2          (1)   In this section --
3                specified means specified or described in the regulations.
4          (2)   Despite anything in the Local Government Act 1995, a local
5                government cannot, during the specified period (which cannot
6                exceed 10 years) after the disposal under this Act of the central
7                trading lot, provide or establish in a specified area a public
8                market in respect of specified produce.

9    38.         Effect of this Act on existing rights and obligations
10               The operation of this Act, including anything done or omitted to
11               be done under or for the purposes of this Act, is not to be
12               regarded as --
13                 (a) a breach of confidence or any other civil wrong; or
14                 (b) a breach of a contract or instrument, including (without
15                      limitation) a provision prohibiting, restricting or
16                      regulating the assignment or transfer of assets, rights or
17                      liabilities; or
18                 (c) requiring any act to be done under a contract or
19                      instrument; or
20                 (d) giving rise to a right or remedy of a party to a contract
21                      or instrument or causing or permitting the termination
22                      of, or exercise of rights under, a contract or instrument;
23                      or
24                 (e) an event of default under a contract or instrument; or
25                  (f) causing a contract or instrument to be void or otherwise
26                      unenforceable; or
27                 (g) subject to section 32(3) and (4), releasing, or allowing
28                      the release of, a surety or other obligee from the whole
29                      or part of an obligation.

1    39.         No compensation payable
2          (1)   No compensation is payable by or on behalf of the State --
3                 (a) because of the enactment or operation of this Act or for
4                      the consequences of its enactment or operation; or
5                 (b) because of any statement or conduct relating to the
6                      enactment of this Act; or
7                 (c) in connection with the assignment under this Act of a
8                      market asset.
9          (2)   Subsection (1) does not apply in relation to --
10                (a) any consideration payable under an agreement entered
11                      into for the purposes of a section 9 disposal; or
12                (b) any compensation payable in connection with the
13                      performance of an obligation arising under an agreement
14                      entered into for the purposes of a section 9 disposal.

15   40.         Regulations for the purposes of, or consequential on,
16               section 9 disposals
17         (1)   In this section --
18               publication day, for regulations referred to in subsection (2),
19               means the day on which those regulations are published in the
20               Gazette.
21         (2)   Regulations made under section 41 may provide for --
22                (a) matters for which it is necessary or convenient to make
23                      provision for the purposes of a section 9 disposal; or
24                (b) matters that it is necessary or convenient to deal with as
25                      a consequence of anything contained in, or anything
26                      done under, Part 2, 3 or 4.
27         (3)   Regulations referred to in subsection (2) may be expressed to
28               take effect before publication day for those regulations but after
29               the day on which the order made under section 9(1)(a) for the
30               section 9 disposal is published in the Gazette.

1          (4)   To the extent that regulations referred to in subsection (2) take
2                effect before publication day for those regulations, the
3                regulations do not operate --

6                        assignment for the purposes of the section 9 disposal, or
7                        a Minister, officer or agency of the State) the rights of
8                        that person existing before publication day for those
9                        regulations; or

12                       purposes of the section 9 disposal, or a Minister, officer
13                       or agency of the State) in respect of anything done or
14                       omitted to be done before publication day for those

16   41.         Regulations
17               The Governor may make regulations prescribing matters --
18                (a) required or permitted to be prescribed by this Act; or
19                (b) necessary or convenient to be prescribed for giving
20                     effect to this Act.

8                Minister is satisfied that there is no reason for the Perth Market
9                Act 1926 to remain in operation.

10   43.         Arrangements to be made for Authority's staff before repeal
11         (1)   In this section --
12               staff member means a person appointed by the Authority under
13               the Perth Market Act 1926 section 10(1)(a) or otherwise
14               employed by the Authority.
15         (2)   Before the Perth Market Act 1926 is repealed under section 42,
16               the Minister --
17                 (a) must, after consulting the Public Sector
18                      Commissioner --
19                         (i) nominate the person or body in the Public Sector
20                              who will be the employing authority under the
21                              Public Sector Management Act 1994 for staff
22                              members after the repeal; and
23                        (ii) ensure that employment by or under that
24                              employing authority is arranged for each staff
25                              member who has not made other arrangements;
26                      and
27                 (b) must ensure that the Public Sector Management
28                      Act 1994 Part 6 applies in relation to any staff member
29                      whose employment is arranged under paragraph (a).

1          (3)     Except as agreed by a staff member, neither a change of
2                  employment arranged under paragraph (a) nor the repeal --
3                   (a) affects the staff member's remuneration or other terms
4                         and conditions of employment; or
5                   (b) prejudices the staff member's existing or accruing
6                         rights; or
7                   (c) affects any rights under a superannuation scheme; or
8                   (d) interrupts the staff member's continuity of service.

9    44.           Members go out of office
10                 When the Perth Market Act 1926 is repealed under section 42,
11                 the members of the Authority go out of office.

12               Division 2 -- Transitional arrangements after repeal
13   45.           Term used: Authority
14                 In this Division --
15                 Authority means the Perth Market Authority continued in
16                 existence under section 46(1).

17   46.           Authority continued in existence for transitional purposes
18         (1)     Despite the repeal of the Perth Market Act 1926 under
19                 section 42, the Authority under that Act continues in existence
20                 for the purposes of sections 23, 25, 47 and 49.
21         (2)     The Authority is to be constituted by, and must perform its
22                 functions through, one or more persons appointed by the
23                 Minister.
24         (3)     A person appointed under subsection (2) holds office at the
25                 pleasure of the Minister and on the terms and conditions
26                 (including as to remuneration) the Minister determines.
27         (4)     The Authority has all of the functions and powers necessary or
28                 convenient for the purposes referred to in subsection (1).

1    47.         Disposal of residual assets and liabilities
2          (1)   Any part of a business carried on by, or any asset or liability
3                owned by, the Authority that, immediately before the repeal of
4                the Perth Market Act 1926 under section 42, had not been
5                disposed of otherwise under this Act may be assigned from the
6                Authority to the State or another person.
7          (2)   The Under Treasurer must ensure that the necessary steps are
8                taken to effect any assignment of a part of a business, or an
9                asset or liability, under subsection (1).

11               The Constitution Acts Amendment Act 1899 applies, until the
12               Authority is abolished under section 51, as if the following item
